PROBLEM TO BE SOLVED: To easily perform the assembling work of an air-conditioning unit to a vehicle body side, and to favorably maintain seal performance by a seal material between the vehicle body side and the air-conditioning unit after the assembling work.SOLUTION: An air-conditioning structure of a vehicle comprises: one portion 29a of an air-conditioning unit 29 which is attached to a cabin 10 in a vehicle body 2, and attached to a static side member of the vehicle body 2; a penetration port 30 formed at an outer plate of the vehicle body 2; the other portion 29b of the air-conditioning unit 29 which is arranged at the outside of the vehicle body 2, and connected to one portion 29a of the air-conditioning unit 29 via the penetration port 30; and a seal material 31 which seals a clearance between a port edge of the penetration port 30 and a portion of the air-conditioning unit 29 which penetrates the penetration port 30. The seal material 31 can be locked to the port edge of the penetration pot 30 from the outside of the vehicle body 2. A connecting implement 61 is arranged which connects the seal material 31 to one portion 29a of the air-conditioning unit 29 together with the other portion 29b of the air-conditioning unit 29.
